Terms of Service

Welcome to OpenAdapter. Please read these Terms of Service carefully before using our platform. These Terms form a legally binding agreement between you and OpenAdapter, Inc. governing your access to and use of the Service.

1. Acceptance of Terms

By accessing or using OpenAdapter ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time. Continued use after changes constitutes acceptance.

2. Description of Service

OpenAdapter provides an all-in-one AI coding subscription that gives developers access to 40+ state-of-the-art models through a single, affordable plan. The Service includes our API, dashboard, documentation, and related tooling (collectively, the "Platform"). OpenAdapter is compatible with any code editor or tool that supports a custom base URL.

3. Account Registration

3.1 Eligibility

You must be at least 16 years old and capable of forming a binding contract to use the Service. By registering, you represent and warrant that you meet these requirements.

3.2 Account Security

You are responsible for maintaining the confidentiality of your API keys and credentials. You agree to notify us immediately at security@openadapter.dev if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized use of your account.

3.3 Accurate Information

You agree to provide accurate, current, and complete registration information and to keep it up to date. We reserve the right to suspend or terminate accounts with inaccurate information.

3.4 Personal Use Only

Coding Plan subscriptions are for the subscriber's personal use only. Account sharing, including sharing API keys or credentials with other individuals, is strictly prohibited. Violation of this policy may result in immediate suspension or termination of your subscription without refund.

4. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose or in violation of these Terms; (b) reverse engineer, decompile, or disassemble any part of the Platform; (c) resell or sublicense access to the API without written permission; (d) use the Service to generate, distribute, or facilitate harmful, abusive, or illegal content; (e) attempt to circumvent rate limits, authentication, or any security measures; (f) use automated means to access the Service in ways that exceed normal usage.

4.1 Fair Use & No Abuse Policy

OpenAdapter is built to serve developers and their applications. While we offer generous rate limits, the Service must not be used for bulk automated tasks, high-frequency scripting, or any activity that places excessive or disproportionate load on our infrastructure. Examples of abuse include, but are not limited to: running large-scale batch jobs, automated scraping or data extraction pipelines, stress-testing our endpoints, or any usage pattern designed to consume resources beyond what is reasonable for interactive development and normal application use. We reserve the right to throttle, suspend, or terminate accounts that engage in abusive usage patterns, at our sole discretion and without refund.

5. API Usage and Rate Limits

API usage is subject to the rate limits and quotas associated with your subscription plan. Exceeding limits may result in throttling or temporary suspension. We reserve the right to adjust rate limits with reasonable notice. Unused quota does not roll over between billing periods.

6. Pricing and Payment

6.1 Subscription Plans

OpenAdapter offers Free, Lite ($9/mo), Pro ($29/mo), and Max ($49/mo) plans. Paid plans are billed monthly in advance. Prices are listed on our pricing page and may change with 30 days' notice. Promotional discounts (such as promo codes) apply to the first billing cycle unless otherwise stated.

6.2 Payment Processing

All payments are processed by DodoPayments. By providing payment information, you authorize us to charge your payment method for applicable fees. Failure to pay may result in suspension or termination of your account.

6.3 Refunds

All Coding Plan subscriptions are non-refundable. By subscribing, you acknowledge that fees will not be refunded for any reason, including partial use, early cancellation, or dissatisfaction with the Service, except where required by applicable law. You may cancel your subscription at any time, and your access will continue until the end of the current billing period. No prorated refunds will be issued for unused time.

6.4 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities. We will collect VAT or GST where legally required.

7. Intellectual Property

7.1 Our IP

OpenAdapter and its licensors own all rights, title, and interest in the Service, including all intellectual property rights. These Terms do not grant you any rights to use our trademarks, logos, or brand names without prior written consent.

7.2 Your Content

You retain ownership of any data, code, or content you submit through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to process Your Content solely to provide and improve the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or compensation to you.

8. Confidentiality

You may access information about our technology, business, or roadmap that is not publicly available ("Confidential Information"). You agree not to disclose Confidential Information to third parties or use it for any purpose other than evaluating or using the Service.

9. Service Availability and Third-Party Providers

9.1 Upstream Provider Dependencies

OpenAdapter routes requests through multiple third-party inference providers, including but not limited to Chutes, 0G, and OpenRouter. Because we depend on these upstream providers, we cannot guarantee 100% uptime or full-throttle performance at all times. Occasional delays, rate limiting, or temporary unavailability may occur due to provider-side maintenance, capacity constraints, or outages beyond our control.

9.2 Peak Hours

During periods of high demand, you may experience increased latency or reduced throughput. We continuously work to optimize routing and provider allocation to minimize disruptions, but some variability in response times is inherent to the multi-provider architecture.

9.3 No Uptime Guarantee

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENADAPTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless OpenAdapter and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

Either party may terminate the account at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Service ceases, and we may delete your data in accordance with our Privacy Policy. Sections that by their nature should survive termination will do so.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Miscellaneous

These Terms constitute the entire agreement between you and OpenAdapter regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. You may not assign your rights under these Terms without our written consent.
